1 Definitions and Account Types

1.1 Service Description

FinCalcs.NET provides web-based financial calculators powered by FinTools®, including options pricing models (Black-Scholes, barrier options, lattice models), bond analytics, discount for lack of marketability (DLOM) models, and volatility analysis tools.

2 License Grant and Restrictions

2.1 License Grant

MITI hereby grants you a non-exclusive, non-transferable, revocable license to use the FinCalcs.NET service solely for your own internal business or personal purposes, subject to the terms and conditions of this Agreement.

2.2 Restrictions

You agree NOT to:

• Use Freemium accounts for any professional or commercial purpose
• Share login credentials or provide access to unauthorized users
• Reverse engineer, decompile, or disassemble the service
• Copy, modify, or create derivative works of the service
• Use the service for benchmarking or competitive analysis
• Resell, sublicense, or distribute the service or its outputs
• Use automated systems or bots to access the service
• Circumvent any usage limitations or security measures

2.3 Company Account Limitations

MITI reserves the right to limit the number of Freemium accounts per company or organization. This may be enforced by:

• Blocking new registrations from specific email domains
• Removing existing accounts associated with an email domain
• Restricting access for accounts from specific domains
• Requiring Premium subscriptions for a certain number of users from commercial domains

3 Subscription Tiers and Professional Use

3.1 Freemium Tier Limitations

• 5 calculations per day
• 15 calculations per month
• No Excel export functionality
• Basic email support only
• Lower priority during high-usage periods
• May experience calculation wait times

3.2 Premium Tier Benefits

• Unlimited calculations
• Unlimited Excel exports
• Priority calculation resources
• Professional email and phone support
• Guaranteed service level agreement
• Advanced calculation capabilities

3.3 Academic Tier

• 1,000 calculations per month
• Excel export functionality
• Educational support
• Special academic pricing

4 Account Registration and Security

4.1 Registration Requirements

To register, you must provide:

• Accurate and complete information
• Valid email address
• Company affiliation (if applicable)
• Intended use case

4.2 Account Security

You are responsible for:

• Maintaining confidentiality of login credentials
• All activities under your account
• Notifying us immediately of unauthorized access
• Ensuring compliance with this Agreement by all users

5 Usage Limitations and Fair Use

5.1 Calculation Limits

• Limits are enforced per user account
• Unused calculations do not roll over
• Attempts to circumvent limits may result in termination

5.2 Fair Use Policy

We reserve the right to impose additional restrictions on accounts that:

• Exhibit abnormal usage patterns
• Impact service availability for other users
• Attempt to abuse or game the system

6 Payment Terms and Billing

6.1 Subscription Fees

• Premium subscriptions are billed monthly or annually
• Prices are subject to change with 30 days notice
• All fees are in US Dollars unless otherwise specified

6.2 Payment Processing

• Payments are processed through Stripe, Inc.
• By subscribing, you agree to Stripe's terms of service
• Automatic renewal unless cancelled
• Payment due within 30 days of invoice

6.3 Refund Policy

• Annual subscriptions: Pro-rated refund within 30 days
• Monthly subscriptions: No refunds for partial months
• No refunds for violations of Terms of Service

6.4 Taxes

You are responsible for all applicable taxes and tariffs.

7 Service Level Agreement

7.1 Premium SLA

Premium subscribers are entitled to:

• 99.5% uptime guarantee (excluding maintenance)
• Priority support response within 24 business hours
• Advance notice of maintenance windows

7.2 Freemium Service

• Provided on "as available" basis
• No uptime guarantees
• May be limited during peak usage
• Support on best-effort basis

8 Intellectual Property Rights

8.1 MITI Property

All content, software, algorithms, and technology comprising FinCalcs.NET, including FinTools®, remain the exclusive property of MITI and its licensors.

8.2 User Data

You retain all rights to your input data and calculation results. You grant MITI a limited license to process your data solely for providing the service.

8.3 Feedback

Any feedback, suggestions, or improvements you provide become the property of MITI without compensation.

9 Data Ownership and Privacy

9.1 Personal Information

We collect and protect:

• Name and contact information
• Company affiliation
• Usage analytics
• Payment information (via Stripe)

9.2 Data Security

We implement industry-standard security measures but cannot guarantee absolute security.

9.3 Data Retention

• Account data retained while account is active
• Deleted accounts removed within 30 days

11 Limitation of Liability

• TRADING LOSSES
• INVESTMENT DECISIONS
• DAMAGES EXCEEDING FEES PAID IN PRIOR 12 MONTHS

11.2 Essential Purpose

These limitations apply even if remedies fail their essential purpose.

12 Indemnification

You agree to indemnify, defend, and hold harmless MITI, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the service
• Violation of these Terms
• Violation of any rights of third parties
• Professional use with Freemium account

13 Termination

13.1 Termination by You

You may terminate at any time by:

• Cancelling subscription through account settings
• Providing written notice
• Ceasing use of the service

13.2 Termination by MITI

We may terminate immediately for:

• Violation of Terms of Service
• Non-payment of fees
• Fraudulent or illegal activity
• Professional use with Freemium account
• Abuse of service

13.3 Effect of Termination

• Access immediately revoked
• No refund for Terms violations
• Data available for export for 30 days

14 Modifications to Service

We reserve the right to:

• Modify or discontinue features
• Change pricing with notice
• Update these Terms
• Implement new restrictions

Continued use constitutes acceptance of changes.

15 Compliance with Laws

You agree to comply with all applicable laws, including:

• Export control regulations
• Financial services regulations
• Data privacy laws
• Securities laws and regulations

16 Jurisdiction

This Agreement is governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in courts of New Castle County, Delaware.
